Module 1

Introduction: the current legal regulation on the criminal liability of juridical entities and its impact on corporate governance and business ethics

This module will explain how the criminal liability of companies is regulated. This is a new feature of our Criminal Code, introduced in 2010 and expanded upon in 2015. There has been a significant reform of our criminal law with regards to criminal liability of legal persons, with the Spanish legislator taking inspiration from a system which has always appeared to be in contradiction with our own legal code: Anglo-American law. More specifically, this module will cover the following points:

  1. Legislative history of article 31-2 of the Spanish Criminal Code (CC). From the accompanying consequences of the 129 to the criminal liability of companies.
  2. Description of the current system. Articles 31-2-5, 33.7 and 66-2 of the Spanish Criminal Code.
  3. Comparative law as criterion for interpretation.
  4. Reflections on the impact of the new regulations on the general theory of crime and on the polity.
  5. Compliance & Ethics: historical development and current trends on the subject of business ethics and corporate government.

Module 2

Crime prevention models and compliance programmes: Concept and criminal regulation

This module will cover the phenomenon of Compliance Programs. Such programmes comprise a series of internal regulations or protocols, of essentially legal content. Therefore, it is important to distinguish them from others which, at first sight, may appear to be fairly similar (audits, industry regulations on anti-money laundering and prevention of occupational risks, code of ethics, etc.). It is also important to connect CPs with the empirical knowledge necessary for identifying risks, designing preventative strategies and detecting non-compliance, etc.

Thus, the content of this module can be summarised as follows:

  1. Concept of Criminal Compliance. Distinguishing it from other similar concepts: Good Corporate Governance, Corporate Social Responsibility, Business Ethics, etc.
  2. Relationship between Compliance Programmes and other industry regulatory frameworks such as the Organic Law on Data Protection, the Law on Anti-Money Laundering and Financing of Terrorism, the Law on Prevention of Workplace Risks and the Law on Corporate Enterprises.
  3. The concept of a Crime Prevention Model or Criminal Compliance. How they differ from other similar phenomena: Good Corporate Governance, Corporate Social Responsibility, Business Ethics, etc. Analysis of the different incardination models and the structure of the compliance authority within the company's organisational chart.
  4. Criminology (and other empirical sciences) and programmes for compliance with standards.

Module 3

The Position of Compliance Officer (I): Crime Prevention.

This module focuses on the figure of the compliance officer. The compliance officer is a person or collective body charged with overseeing the legality and implementation of the CP. More specifically, the compliance officer performs various oversight and control duties, concerning not only the liability of the company, but also the individual liability of members of the Board of Directors and of the compliance officer themselves, and the fundamental rights of the company’s employees. More specifically, this module will cover the following points:

  1. Compliance officer as guarantor of legality within the company. Autonomous figure with power to take initiative and exercise control. Collective structure v. Individual. Internal v. Outsourced.
  2. Drawing up questionnaires and interviews.
  3. Compliance risk mapping.
  4. Design of protocols and regular evaluation.
  5. In-house training. Importance of compliance officer in guaranteeing tone from the top.

Module 4

Compliance Officer (II): Crime Detection.

This module will cover the content of the crime detection duties of the compliance officer. Like the previous theme, it will cover the skills of the compliance officer in depth, this time in connection with the responsibility of detecting crime. More specifically, the following points will be covered:

  1. Internal investigations.
  2. Designing a whistleblowing hotline or channel.
  3. Possible problems and solutions: fundamental rights, importance of preparing evidence (documentation), etc.

Module 5

Compliance Officer (III): Reaction to Crimes.

This module will provide the tools necessary to learn to design a good crisis management policy within the company. It will emphasise the importance of the compliance officer knowing both the limit of their remit and responsibilities, and the protocol for action to avoid or reduce the impact of criminal charges. The content of the module can be summarised as follows:

  1. Reporting non-compliance to the Board of Directors. Weighing up the (in)convenience of applying the extenuating circumstances of art. 31-4 of the CC: confession, collaboration, reparation and compliance.
  2. Designing a system of disciplinary measures. Possible employment law problems and solutions.
  3. Legal defence of legal person. Legislation, problems and solutions.
  4. Individual liability for offences of the company.
  5. Improving the CP and the company’s image.

Module 6

Technology, cybersecurity and compliance: managing a CPM in the context of ICT and the protection of personal property and assets of the company.

This module will deal with how to implement and manage a CPM supported by a technological system of monitoring and regular verification. The objective is that, in a practical and tangible way, the effectiveness of the control and checks is assured by obtaining and compiling evidence that comes with the maximum level of guarantees and from a time-stamped system. Additionally, the more controversial and important issues will be addressed relating to:

  1. The digital transformation of companies and the management of cybersecurity.
  2. Data protection (with special reference to the new European regulation and the figure of the Data Protection Officer)
  3. The map of digital risks against which protection is needed.
